ANNUAL GENERAL MEETING

Under our Constitution, the Annual General Meeting must be held in April each year.

In 2025, the AGM will be held, again, at the Unley Town Hall, Oxford Terrace Unley (pictured below) from 10am to noon on Sunday 27 April. Members also have the option of attending remotely, via Zoom. The Zoom link will be included with the agenda for the AGM, when it is distributed to Members on Tuesday 22 April.

Draft Minutes of the previous (2024) AGM will be included in the agenda for the 2025 AGM.

The Minutes of the previous AGM are always considered “draft” until confirmed at the subsequent Annual General Meeting.


Opportunities to lead

The Annual General Meeting is your opportunity to help to steer your Association.

Provided that you are an APA Member, then the AGM is your opportunity to:

  • nominate for the Managing Committee (i.e. equivalent to our Board of Directors); and/or

  • put forward motions for discussion or decision by the membership.

These opportunities are greater in 2025 than they have been in previous years, because President Shane Sody, and Secretary Sandra Lindemann are both stepping down. Neither intends to re-nominate for their respective position. This will open up these roles, allowing fresh faces to lead APA.

DEADLINES

  • Proposed Motions: 9 April

Any proposed Member motions for discussion or decision at the AGM must be received by the Secretary no later than Wednesday 9 April.

That will allow the Committee (at its scheduled pre-AGM meeting on Thursday 10 April) to review any suggested Member motions, and if necessary, with your consent, amend or merge prospective motions before they’re included in the AGM agenda.

  • NOMINATIONS - 20 April

Any Member nomination for the Managing Committee needs to be received by the Secretary no later than a week before the AGM - ie by Sunday 20 April.

To nominate, simply advise Secretary, Sandra Lindemann, (secretary@adelaide-parklands.asn.au) including the name and contact details of a fellow Member who is prepared to second your nomination (or you can request the Secretary to second your nomination). Include with your nomination a paragraph about yourself that can be included in the agenda.

Provided that you are an APA Member, you can nominate for President, for Secretary, or for Treasurer, and/or for one of the up to eight positions available as Ordinary Committee Member. Nominations can be received from any current Member. There is no qualifying or waiting period. That means you can join up, and immediately nominate yourself.

If there are more nominations than positions available, then Members at the Annual General Meeting will vote to select from the nominees.

Tentative Agenda

The agenda for the 2025 AGM, when it’s released on Tuesday 22 April, will include at a minimum the following items:

  1. Welcome, and confirmation of quorum (20 required)

  2. Apologies

  3. Confirmation of Minutes from the 2024 AGM

  4. President’s Report (Shane Sody) and Strategic Plan 2025-27 (version 3.01)

  5. Park Lands Art Prize Report (Rosemary Warmington)

  6. Treasurer’s Report and 2024 Financial Statements (Bruno Zeni)

  7. Nomination of Auditor (Bruno Zeni)

  8. Proposed Membership fees 2025-26

  9. Election of President, Secretary, Treasurer and up to eight Committee Positions

  10. Guest Speaker: Rex Patrick

  11. Any Other Business



    Who can attend the AGM?

Although this is a public web page, invitations to the AGM will be issued only to APA’s current financial Members. Your regular APA emailed newsletter “Open, Green, Public” will inform you whether you are a Member, or not.

OUR CONSTITUTION

We are an incorporated Association, and so we are bound by this Constitution.
